This Open License Agreement (hereinafter referred to as the "Agreement") is entered into between Vidping Ltd (hereinafter referred to as the "Company") and its clients (hereinafter referred to as the "Clients") for the purposes specified herein. The Sales Manager of Vidping Ltd (hereinafter referred to as the "Sales Manager") is empowered to act on behalf of Vidping Ltd for this Agreement.

1. Scope of Services
Vidping Ltd specializes in creating generic commercials with the addition of logos specifically tailored to the Clients' marketing needs. The Company agrees to create and deliver videos to the Clients as per their requirements and specifications (hereinafter referred to as the "Video").

2. Leasing Agreement
The Company grants the Clients the non-exclusive right to lease and use the Video edit for a period of one (1) year from the date of delivery. The Clients are permitted to use the Video for their corporate use worldwide within the specified timeframe.

3. Intellectual Property
a) The Clients acknowledge and agree that the Company solely owns all rights, titles, and interests in the Video, including any associated intellectual property rights.
b) The Clients are explicitly prohibited from re-editing the Video provided by the Company without obtaining prior written consent. The Company retains exclusive rights to re-edit the Video.

4. Usage Rights
a) The Company grants the Clients the rights to use the Video for their corporate use worldwide, including but not limited to websites, social media, online advertising, internal presentations, and trade shows.
b) The Clients are not permitted to use the Video for TV, film, or any other purposes beyond their corporate use without obtaining the necessary rights and clearances from the Company. Any usage for TV, film, or other purposes must be agreed upon separately and may require additional licenses or fees.
c) The Clients agree that other similar industries may be using similar videos created by the Company.

5. Payment Terms
a) The Clients agree to pay the Company the agreed-upon fees for the Video edit as per the terms specified in the invoice provided by the Company.
b) Payments shall be made in the currency stated in the invoice and within the timeframe specified in the invoice unless otherwise agreed upon by both parties in writing.

6. Confidentiality
Both parties agree to treat any confidential information disclosed within the scope of this Agreement as strictly confidential and not to disclose it to any third party without prior written consent from the other party.

7. Termination
Either party may terminate this Agreement upon providing written notice to the other party. In the event of termination, the Clients shall cease all use of the Video and return any copies or materials provided by the Company.

8. Governing Law and Jurisdiction
This Agreement shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be resolved exclusively in the courts of [Jurisdiction].

9. Entire Agreement

This Agreement constitutes the entire understanding of the parties with respect to the subject matter herein. Any modifications or amendments to this Agreement must be made in writing and agreed upon by both parties.

By paying for the Video, the Clients accept the terms laid out in this agreement.
